David Massie - Chairman and Chief Executive

David Massie, aged 53, has an honours degree in Accounting and Financial Analysis from The University of Warwick.  He is a former banker and an experienced company director who has held public directorships in a variety of sectors including financial services, engineering and aviation.  David is responsible for Group matters, shareholder relationships and marketing of the Group.

Menno de Jager – Deputy Chairman

Menno de Jager, aged 52, began his career with Amro Bank in 1977 as a dealer in bonds and equities and has since worked in London and Amsterdam.  He retired from ABM AMRO, where he was a Vice Chairman, on 30 June 2008, after 31 years’ of service, having previously served as Chairman of ABN Rothschild.  He has been a Non-Executive Director of IAF Group since 2006.  On 1 August 2008 Menno increased his role to become Deputy Chairman of the Group and Chairman of the Group’s wholly owned FSA regulated stockbroker IAF Securities Limited, where he will be responsible for guiding the Group through its next phase of growth.

Robin Davies - Non-Executive Director

Robin Davies, aged 58, has had a successful career in human resources, consulting and management development.  In 1986 he founded Crane Davies Limited, a human resources and management development consultancy, with clients including Goldman Sachs, Morgan Stanley, Guinness Plc, HSBC plc and ICI Plc.  In 2000 Crane Davies was acquired by Penna Consulting Plc.  Mr Davies is currently Non-Executive Chairman of X-Phonics Plc, a company which was admitted to AIM in October 2005 and was previously a Non-Executive Director of Meon Capital Plc.  He became a Director of the Company on 1 August 2008 and provides special guidance and expertise in all areas of human resources and training

Colin Brumpton – Non-Executive Director

Colin Brumpton, aged 58, has had a successful career in treasury and finance and was one of the senior management team at Man Group.  He played a major role in the creation of MF Global, with primary responsibilities for funding, liquidity management and trading.  He is a non-executive director of Strontium plc and an investor and director of several private companies, including interests in healthcare and internet data mining.

 

Audit Committee

The Company has an Audit Committee comprising the Non-Executive Directors and the Chairman.  Mr de Jager chairs the Committee.  In view of its size, the Group does not have an internal audit function but reviews its requirements annually.  The current year review by the Directors concluded that because of the size of the Group’s operations, it is inappropriate to establish an internal audit function at this time.

AIM Compliance Committee

The AIM Compliance Committee is chaired by Mr de Jager and the members are the Non-Executive Directors and Mr Massie.  The Committee regularly reviews its compliance with AIM Rules ensuring sufficient procedures, resources and controls are in place.

Nominations Committee

The whole Board acts as the Nominations Committee in connection with recruitment and appointment of Directors.  Mr Massie chairs the Committee.     

Remuneration Committee

The Remuneration Committee is chaired by Mr Davies and the members are the Non-Executive Directors and Mr Massie.  The Committee considers all matters relating to Executive Directors’ remuneration and option grants to Group staff.
